1. About these terms

1.1. These Subscription Terms govern subscription plans for the MobylX business-to-business marketplace, sold by Mobylx Tech Mobile Trading Limited (“MobylX”), Ground Floor, Building No. 280, Taweelah, Abu Dhabi, United Arab Emirates, to the company that buys the plan (the “Customer”).

1.2. The Customer accepts these Subscription Terms, together with the MobylX Subscription Refund and Cancellation Policy published at https://mobylx.com/refund-and-cancellation-policy (the “Refund Policy”), by ticking the acceptance box in the admin portal before a plan purchase or a plan change (additional users are bought under the acceptance already given for the plan). The acceptance box names the version accepted. The Refund Policy forms part of these Subscription Terms.

1.3. The individual who accepts these Subscription Terms confirms that they are the Customer’s company administrator and are authorised to bind the Customer.

1.4. These Subscription Terms apply together with the MobylX Terms of Use, the MobylX Privacy Policy and, where the Customer has accepted it, the Buyer or Seller Onboarding Agreement. The MobylX Return and Refund Policy covers marketplace products only. The Terms of Use and the onboarding agreements are shown in the admin portal and the MobylX app; the Privacy Policy is at https://mobylx.com/privacy-policy.

1.5. For subscriptions, these Subscription Terms are the separate agreement that the Buyer and Seller Onboarding Agreements provide for, and they prevail over anything those agreements (including their sections on subscription plans) or the MobylX Terms of Use say about subscription plans, fees, renewals, refunds or price changes.

1.6. Nothing in this policy or the Subscription Terms excludes or limits a right that the Customer has under a law of the United Arab Emirates and that cannot be excluded or limited by agreement.

2. Definitions

  • Admin portal: the MobylX administration website at https://admin.mobylx.com, where plans are bought and managed.
  • Customer’s administrator: a company administrator account of the Customer. Only such an account can buy a plan, move to another plan, add users, turn automatic renewal off or on, and open the payment provider’s billing page.
  • Plan: one of the subscription plans in section 4.
  • Billing period: one month or one year, as chosen at purchase.
  • Additional user: a team member beyond the users a plan includes, paid for separately.
  • Grace period: the 3 days of full access after a plan ends or a renewal payment first fails. No grace period follows a plan ended by a lost chargeback (section 14).
  • Paused access: the limited access described in section 10.
  • Access hold: a restriction MobylX places on the Customer’s access under section 15.
  • Payment provider: Stripe, which takes card payments for MobylX on its own secure pages.
  • Card payment dispute: a chargeback, in which the card issuer asks, through the payment provider, for a subscription payment to be reversed, or an inquiry from the card issuer about a subscription payment, which can lead to a chargeback.
  • TradCred: TradCred Logistics Ltd, a separate company that may offer trade finance to MobylX customers under its own terms.

3. Who may subscribe

3.1. Plans are sold only to businesses that hold a valid trade licence (companies and sole establishments), never to individuals acting as consumers. The Customer must be registered on MobylX and approved by MobylX after a check of its trade licence, and acts in the course of its business when it buys a plan.

3.2. Plans are bought and managed only in the admin portal, by the Customer’s administrator. The MobylX buyer and seller app and the mobile apps do not sell plans.

4. Plans

4.1. Prices exclude VAT. A Customer registered in the United Arab Emirates, as its registration on MobylX shows, pays in UAE dirhams (AED); any other Customer pays in US dollars (USD). The currency is set by the purchase that starts a subscription, and the subscription keeps it for as long as it runs, including its renewals, moves to another plan and additional users; a different currency applies only to a new plan bought after that subscription has ended. The price that applies is the one shown in the admin portal, in the Customer’s currency, when the Customer buys or changes a plan.

4.2. Users. Each plan includes the Customer’s administrator, who does not count as a user, and the number of users shown above. Further team members need additional users (section 8.5).

4.3. Sides. A plan’s side decides what the Customer’s team can do: a buyer plan allows buying and bidding, a seller plan allows listing stock and accepting bids, and Purple allows both. A team member whose role is selling only never buys or bids, whatever the Customer’s plan.

4.4. TradCred. TradCred is not available when this version is published. Where TradCred is available to the Customer, Silver, Gold and Purple plans include access to TradCred trade finance at the monthly margin shown above (TradCred’s standard margin of 3% a month, reduced by the plan). TradCred is not guaranteed: access also requires that TradCred has found the Customer eligible, and that the Customer is not on a free trial. A TradCred deal is opened on the selling side, so a buyer plan alone does not allow a deal to be opened. The margin is fixed on each deal when the Customer accepts TradCred’s offer, and a later plan change does not alter it. TradCred deals are governed by their own terms.

4.5. Cashback on Purple. The Purple plan includes cashback of 0.1% of the goods value of each completed order line the Customer buys or sells on MobylX (excluding VAT, fees and charges), credited in US dollars to the MobylX wallet of the user who bought or sold. There is no cap. A cancelled order line earns no cashback. No cashback is earned during a free trial, while the Customer’s access is paused (section 10) or on hold (section 15), or on the selling side of an order line held for TradCred.

4.6. A plan includes only what this section states. A plan does not change by itself: MobylX does not move the Customer to another plan automatically.

5. Buying a plan and paying

5.1. Before paying, the Customer’s administrator sees the plan, the billing interval, the price, the VAT, the total due today and the first renewal date, and must tick the acceptance of these Subscription Terms and the Refund Policy. A plan that allows buying or selling also asks for acceptance of the Buyer or Seller Onboarding Agreement.

5.2. A purchase that is charged at once needs the Customer’s registered office address in the admin portal first, because it is printed on the tax invoice.

5.3. Payment is made by card on the payment provider’s secure page. Card details go directly to the payment provider; MobylX never sees or stores them.

5.4. By paying, the Customer authorises MobylX to charge the amount due today and, from the first renewal date, the renewal amount every billing period to the same card, or to a card the Customer later sets on the payment provider’s billing page, until automatic renewal is turned off.

5.5. The plan becomes active once the payment provider confirms the payment, normally within a few minutes. Changes to what the Customer’s team can do take effect after a page refresh, without signing in again.

5.6. Plans are priced and charged in the Customer’s currency under section 4.1. The Customer’s card issuer may charge its own currency conversion fees. MobylX adds no payment processing fee to subscription payments.

6. Billing periods, renewal and reminders

6.1. A plan renews automatically at the end of each billing period, until automatic renewal is turned off. A monthly plan renews on the same day of each month as the day of purchase; where a month has no such day, it renews on the last day of that month. A yearly plan renews on the anniversary of the purchase.

6.2. Seven days before each renewal, MobylX emails the Customer’s administrator, with the Customer’s company email in copy, a reminder with the renewal date and the amount, including VAT and additional users.

6.3. The Customer’s administrator can replace the renewal card, change the billing email and see past payments on the payment provider’s billing page, opened from the admin portal. That page cannot cancel a plan, change a plan, or change the Customer’s name, address or tax details.

7. Turning off automatic renewal

7.1. The Customer’s administrator can turn off automatic renewal at any time on the Subscription page of the admin portal, except while a renewal payment is overdue (section 9) or a chargeback is open (section 14), and MobylX confirms by email that it is off. Turning it off also cancels a plan change scheduled for the renewal. The plan then stays active until the end of the billing period already paid for and is not charged again. It then ends, followed by the grace period and then paused access, unless the Customer buys a plan.

7.2. Automatic renewal can be turned back on before the end of the paid period, except while a chargeback is open. After a plan has ended, the Customer buys a new plan.

7.3. If the Customer’s administrator cannot reach the Subscription page, the Customer writes to contact@mobylx.com from its registered company email address, and MobylX turns off automatic renewal for the Customer.

7.4. Cancellation, refunds and their limits are set out in the Refund Policy.

8. Changing a plan and adding users

8.1. Higher plan. A move to a higher tier on the same side (Basic to Silver or Gold, Silver to Gold), or to Purple from any plan, takes effect at once and is charged at once to the card held for the plan: the new plan’s price for the rest of the billing period, less the unused time on the current plan. The renewal date does not change, and the next renewal is charged at the new plan’s price. The price shown is valid for one hour. The move cannot be started within 72 hours before a renewal, or while a renewal is being charged, and keeps the billing interval. If the card is declined, the move takes effect only once the invoice shown is paid; otherwise it lapses.

8.2. Lower plan or other side. A move to a lower tier, from Purple to a buyer or seller plan, or between buyer and seller plans is scheduled for the next renewal and charged at the new price from then, with no refund or credit for the current period. Automatic renewal must be on, only one change can be scheduled at a time, a change cannot be scheduled within the hour before a renewal, and a scheduled change can be cancelled in the admin portal until the renewal. A move to a higher plan made while a change is scheduled replaces the scheduled change, and turning off automatic renewal cancels it.

8.3. Monthly or yearly. The billing interval of a plan cannot be changed while the plan runs. To move to the other interval, the Customer’s administrator either turns off automatic renewal and buys a plan with the other billing interval once the current plan has ended, for example during the grace period, or asks MobylX to end the current plan early under section 16 and then buys the plan with the other billing interval at once. No refund or credit is given for the remaining part of the current billing period when the plan is ended early.

8.4. Consequences shown before confirming. Before confirming a purchase or a plan change, the Customer’s administrator sees its effect on the team: the administrator’s own new role, the members whose access changes, the open bids that will be cancelled, the orders in progress and the live listings that will be switched off.

8.5. Additional users. The Customer’s administrator can add users at any time while a plan is active and paid. Each additional user is charged at once for the rest of the billing period, and then at every renewal at the price in section 4. The price shown is valid for one hour. If the card is declined, the users are added only once the invoice shown is paid; otherwise the addition lapses. Users cannot be added while a renewal is being charged or is unpaid, while a plan change is scheduled, or while a card payment dispute is open. Reducing the number of paid additional users is not available, and removing a team member does not reduce the number of paid additional users.

8.6. Roles and team fit. A purchase or a move to a higher plan changes the paying administrator’s role to the administrator role of the new plan’s sides. A change applied at renewal does the same for the Customer’s administrator, and a team member with a role on both sides keeps the side the new plan still grants. No member is removed automatically. Members who no longer fit the plan’s side or number of users are marked on the team page, and members beyond the number of users can only view until the administrator removes members or adds users.

9. Failed payments and the grace period

9.1. If a renewal payment fails, the Customer keeps full access for the grace period of 3 days from the first failed attempt. The payment provider tries the card again once a day, up to three times. MobylX emails the Customer’s administrator when the payment first fails, with the dates of the further attempts, the time by which the renewal must be paid and a link to pay it at once with any card; again before the last attempt; and again if the renewal ends unpaid.

9.2. Each renewal has one invoice, which can be paid only once, whether by a further attempt or from the link. While it is unpaid, the Customer cannot buy another plan, move to a higher plan or add users.

9.3. If the renewal is not paid by the end of the grace period, the subscription is cancelled: the plan ends, the unpaid invoice is cancelled, nothing more is charged, and the Customer’s access is paused (section 10).

9.4. When a plan ends without renewal, because automatic renewal was turned off, a free trial ended or MobylX ended the plan under section 16, the Customer has a grace period of 3 days from the end of the plan, with full access, and its access is then paused unless it buys a plan. Before a plan whose automatic renewal is off comes to its end, MobylX emails the Customer’s administrator reminders; when a plan ends, it emails a notice, and on the last day of the grace period a final notice.

10. Paused access

10.1. While the Customer has no plan in force after the grace period, or after a lost chargeback (section 14), its access is paused:

  • Refused: buying, bidding, accepting bids, putting a listing on sale, uploading stock, opening a TradCred deal, adding or enabling team members and adding users.
  • Still allowed: viewing and exporting data; completing orders already placed, which only the Customer’s administrator can handle; cancelling the Customer’s own bids; existing TradCred deals and the claims the Customer makes on them; viewing and topping up wallets; editing the price and quantity of listings; disabling and removing team members; billing and buying a plan. Orders already placed, team members, billing and buying a plan are handled by the Customer’s administrator only; other team members keep the rest of this list.

10.2. When access is paused, MobylX switches off the Customer’s listings and cancels its open bids, returning the amounts held for those bids, and emails the Customer’s administrator what was switched off and cancelled. Listings held for TradCred are not touched.

10.3. The Customer’s data is kept while access is paused, and no role is changed because a plan ended.

10.4. When the Customer buys a plan again, access returns without further steps and the listings that MobylX switched off are switched back on. Listings the Customer had switched off itself stay off.

11. Plan changes that end buying or selling

11.1. When a purchase or a plan change leaves a user able only to sell, that user’s open bids are cancelled at the change and the amounts held for them are returned. The user’s orders in progress continue and stay reachable. The same applies when the Customer’s administrator changes a member’s role from trading on both sides to selling only, and when the Customer buys a plan without the buying side.

11.2. When the Customer moves to a plan without the selling side, its live listings are switched off at the change. They are switched back on if a later plan grants the selling side again.

12. Free trial

12.1. MobylX offers no free trial of the plans in section 4 when this version is published. When MobylX offers one, it is the Purple plan for the period stated in the offer, once per company, only for a company that has not had a subscription before, without TradCred and without cashback. It needs no payment and no card, and it does not turn into a paid plan: when it ends, the grace period applies and then paused access, unless the Customer buys a plan.

13. VAT, tax invoices and credit notes

13.1. VAT. MobylX charges 5% UAE VAT on every subscription payment, including moves to a higher plan and additional users. A tax registration number does not remove VAT.

13.2. Tax invoice. MobylX issues its own tax invoice for every subscription payment, currently as a PDF. It shows the words “Tax Invoice”; MobylX’s name, address and tax registration number; the Customer’s legal name and registered address, and its tax registration number where entered; a sequential number; the dates of issue and of supply; a description; and the net amount, VAT rate, VAT and total in the currency of the payment. A tax invoice for a payment in UAE dirhams is in UAE dirhams only. A tax invoice for a payment in US dollars also shows the net amount, VAT and total in UAE dirhams, with the exchange rate used. The date of supply is the UAE calendar date of the payment, and the exchange rate is the latest published by the Central Bank of the UAE on or before that date, within the previous 7 days.

13.3. Delivery. MobylX emails the Customer’s administrator, with the company email in copy, after each payment, and every tax invoice can be downloaded from the Subscription page of the admin portal. MobylX issues the tax invoice within the time UAE VAT law allows. If information needed for it is missing, such as the Customer’s registered office address, the Customer provides it without delay; the tax invoice is issued once it has. The invoices and receipts shown on the payment provider’s billing page are payment records, not tax invoices.

13.4. Customer details on tax invoices. The legal name, registered address and country printed on tax invoices come from the Customer’s registration as approved by MobylX. Where that registration has no address, the registered office address that the Customer’s administrator enters in the admin portal is taken in its place, once, the first time it is used. These details cannot be changed at checkout or on the payment provider’s billing page, and editing company details in the admin portal does not change them once they have been taken. To change them, the Customer writes to contact@mobylx.com; MobylX may ask for updated registration documents.

13.5. Tax registration number. The Customer may enter its UAE tax registration number (15 digits) at checkout. MobylX prints it as entered on the tax invoices issued after it is entered, and checks it against the Federal Tax Authority’s records afterwards. If the check fails, MobylX removes the number from future tax invoices and may correct tax invoices already issued with it. The Customer is responsible for the number being correct and for telling MobylX promptly if its tax registration changes or ends.

13.6. Credit notes. For each refund, MobylX issues a tax credit note against the tax invoice of the refunded payment, in the same form and currency as that tax invoice (Refund Policy, section 6).

14. Card payment disputes

14.1. While a card payment dispute is open on a subscription payment, the Customer keeps its access but cannot buy another plan, move to a higher plan or add users.

14.2. While a chargeback is open, the subscription also stops renewing at the end of the current paid period, and until the chargeback closes automatic renewal cannot be turned off or on and a plan change scheduled for the renewal stays as it is. If a renewal payment is unpaid when the chargeback opens, the unpaid renewal invoice is cancelled, nothing more is charged, and the plan ends when the grace period ends (section 9).

14.3. If the dispute is decided in MobylX’s favour, or an inquiry closes without a chargeback, nothing changes for the Customer: the plan continues, and automatic renewal stopped by the chargeback resumes if the paid period has not ended.

14.4. If a chargeback is decided against MobylX, including when MobylX accepts it, the plan of the subscription for which the disputed payment was made ends at once, with no grace period, and nothing more is charged for it; if that plan had already ended, any grace period still running ends then. MobylX places an access hold (section 15) and emails the Customer’s administrator. When MobylX releases the hold, the Customer’s access stays paused (section 10) until it buys a plan, unless another plan of the Customer is still in force. A later decision in MobylX’s favour releases the hold but does not restore the plan.

14.5. The Refund Policy, section 8, sets out the details.

15. Access holds

15.1. MobylX may place an access hold on the Customer when a chargeback is decided against MobylX, when it suspects fraud, or when the Customer seriously breaches these Subscription Terms or the MobylX Terms of Use, for example by using a plan for a business other than the Customer, sharing an administrator account, giving MobylX false registration or payment details, or using the platform for an unlawful purpose.

15.2. While a hold stands, the Customer has paused access (section 10), except that it cannot buy a plan; its plan keeps renewing (section 15.3), its listings are switched off and its open bids are cancelled. MobylX emails the Customer’s administrator when a hold is placed and when it is released, and the Customer may contact MobylX at contact@mobylx.com about it.

15.3. An access hold does not stop automatic renewal: unless the plan is ended, the plan continues to renew, and each renewal is charged, while the hold stands. A plan ends when a chargeback is decided against MobylX (section 14.4); during any other hold, the Customer’s administrator can turn off automatic renewal, and MobylX may end the plan (section 16).

16. Ending a plan early

16.1. MobylX can end the Customer’s current plan at once at the Customer’s request, for example so that the Customer can buy a plan for the other side of the marketplace, or with the other billing interval, straight away, and while an access hold stands (section 15). No refund is given for the remaining part of the paid period, and the grace period then applies; during an access hold, access stays paused. A plan cannot be ended this way while a renewal is overdue, while a chargeback is open, or within 2 hours before a renewal.

17. Refunds

17.1. Refunds are given for billing errors only, in the cases set out in the Refund Policy, section 6: a duplicate charge, a renewal charged after automatic renewal was turned off or after the plan had ended, or a payment for a plan or additional users that MobylX did not activate. A refund is issued by MobylX to the card that made the payment, with a MobylX tax credit note in the currency of the payment. There are no refunds for part of a billing period. MobylX may also refund a payment that it or its payment provider identifies as fraudulent or unauthorised.

18. Price changes

18.1. MobylX may change plan prices. A new price applies to an existing plan only from a renewal at least 30 days after MobylX has emailed the Customer’s administrator the new price and the renewal from which it applies. The Customer can turn off automatic renewal before then. A move to another plan, or a new purchase, is charged at the price shown at that time.

19. Records of acceptance and purchase

19.1. For every plan purchase and plan change, MobylX records which user accepted these Subscription Terms and the Refund Policy, the date and time, the version accepted, the IP address and browser used, the plan, the billing interval, the amounts shown and the first renewal date. MobylX uses these records to prove the agreement, to keep tax records and to answer card payment disputes. The MobylX Privacy Policy explains how these records are handled.

20. Notices

20.1. MobylX sends notices about the plan by email to the Customer’s administrator, with the Customer’s company email in copy. The Customer keeps those addresses current.

20.2. The Customer sends notices to MobylX at contact@mobylx.com.

21. Liability

21.1. MobylX’s total liability under these Subscription Terms is limited to the subscription fees the Customer paid to MobylX in the 12 months before the claim arose. This limit does not apply to liability for fraud, gross negligence, death or personal injury, or to any other liability that the law does not allow to be limited.

22. Changes to these terms

22.1. MobylX publishes each version of these Subscription Terms at https://mobylx.com/terms with its version label and the date it was last updated, and gives each version a new label. A new version applies to purchases and plan changes made after it is published, which ask for acceptance of that version. It applies to an existing plan from the first renewal at least 30 days after MobylX has emailed the Customer’s administrator about the change; the Customer can turn off automatic renewal before then.

23. Governing law and disputes

23.1. These Subscription Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Nothing in these Subscription Terms is an agreement to arbitrate.

23.2. These Subscription Terms are published in English only.
